Construction Retainage: What to Reconcile When Final Money Is Still Outstanding

Retainage is part of the final commercial account. A review should distinguish the balance itself from the conditions delaying its release.

Establish the number first

Reconcile contract value, approved changes, billed amount, payments received, retainage withheld, credits, backcharges, and any remaining balance. If those figures do not reconcile, the closeout problem is not yet defined.

Then identify the dependency

An outstanding retainage balance may be connected to closeout documentation, punch-list status, final change orders, releases, upstream payment, disputed deductions, or contract-specific requirements. The project record should show which condition is actually open rather than treating “retainage” as the explanation by itself.

Keep legal questions separate

Retainage rules and payment rights vary by contract, project type, and jurisdiction. A documentary review can establish the commercial record and outstanding dependencies; legal rights and remedies belong with qualified counsel.
